Terms of Service

Last updated: 3 November 2026

These Terms govern the NormXL website and software and every order placed through them. They are written for business customers and kept as plain as a contract allows.

1. Who we are and what these Terms cover

NormXL is published by Velmundi Group Jakub Karakulski, ul. Hawajska 6/17, 02-776 Warszawa, Poland, entered in the Polish Central Register and Information on Economic Activity (CEIDG), REGON 142157214, VAT ID PL9512148443 (“NormXL”, “we”, “us”). You can reach us at info@normxl.com or +48 22 240 66 88.

These Terms apply to the website normxl.com, the forms on it, the NormXL software, and every order for a Single Dossier or an Annual Quality Register (together, the “Services”). By using the website, submitting a form or placing an order you accept these Terms on behalf of the organisation you represent (“you”). You confirm that you are authorised to do so.

These Terms also serve as the terms and conditions for services provided by electronic means required by the Polish Act of 18 July 2002 on Providing Services by Electronic Means.

2. Business customers only

The Services are offered only to businesses, public bodies and other organisations, for purposes connected with their trade, business or profession. They are not offered to consumers. By placing an order you confirm that you order for the business purposes of the organisation named in the order. If you are not ordering for an organisation, please do not place an order.

If you are a natural person running a business registered in Poland and you conclude a contract with us that is directly connected with your business but does not have a professional character for you (in particular as shown by the business activity codes in your CEIDG entry), the consumer protection provisions of Polish law apply to you to the extent set out in Articles 3855, 5565 and 5765 of the Polish Civil Code and Article 38a of the Polish Consumer Rights Act. Any clause of these Terms that would exclude or limit those rights does not apply to you. This includes the right to withdraw from a contract within 14 days, which ends once the supply of digital content has begun with your express consent and your acknowledgement that you thereby lose that right.

3. The Services

  • Free website services: information about NormXL; the in-browser fingerprint check and quick count, which compute the SHA-256 fingerprint of a file and a quick count of its formulas, locks and constants locally; the order and reservation form; the sample Dossier request; the optional survey; the contact form; and, if you opt in, occasional product news.
  • Single Dossier (€149 + VAT, one-time): one Validation Dossier (PDF and DOCX) for one spreadsheet, in the compliance profile you choose (ISO/IEC 17020:2026, ISO/IEC 17025:2017 or ISO 13485:2016 / MDSAP).
  • Annual Quality Register (€490/year + VAT): Validation Dossiers for up to 20 spreadsheets during a 12-month term, re-validation after every change, version change-log diffing, an audit-day integrity check, and all three compliance profiles.

The content of each package at the time of your order is the one described on the website and in the order form. The free website services are provided free of charge and without a contract term: the contract for them begins when you use them and ends when you stop.

4. Technical requirements

To use the website and the software you need an internet connection to load the pages, a current version of a common browser with JavaScript and WebAssembly enabled (Microsoft Edge, Google Chrome, Mozilla Firefox or Apple Safari), and an email address to receive confirmations. Supported workbook formats are .xlsx and .xlsm. We do not require any installation or administrator rights.

Using any online service carries general risks, such as malware, phishing or the interception of data in transit. We serve the website over HTTPS only. The website keeps the technical values described in section 4 of our Privacy Policy in your browser’s storage, and runs the NormXL engine as WebAssembly inside your browser’s sandbox; nothing is installed on your device.

5. Pre-release orders

NormXL 7.0 is in final pre-release qualification. Until it is released, an order placed through the website is a reservation at the standard price shown. During pre-release:

  • no payment details are requested and nothing is charged;
  • a reservation is not a purchase contract and does not oblige you to buy anything;
  • we email you when NormXL 7.0 is released, with a link to complete your order at the price you reserved (for the Annual Quality Register, for its first term); the contract is concluded only if you then complete the order as described in section 6;
  • if we decide not to release on the timeline we gave you, we tell you by email and delete your reservation;
  • because a reservation is free and non-binding, neither of us is liable to the other for not proceeding with it.

6. Orders and payment

After release you order by choosing a package, entering your organisation’s details and paying by card through our payment provider, which is named in the order flow before you enter any payment details. The contract is concluded when we confirm your order by email after the payment has been authorised. You receive a VAT invoice issued in your organisation’s name.

Prices are shown in euro and exclude VAT, GST and other local taxes, where applicable. VAT is charged according to the rules that apply to your country and VAT status; where the reverse-charge mechanism applies, the invoice shows no VAT and you account for it. The price that applies is the one shown when you place the order (for a reservation, the price you reserved).

7. Delivery of your Dossier

The software runs in your browser. Once your order is confirmed you open NormXL, drop in your spreadsheet, answer the short intended-use questions, and download your Dossier. Your workbook and your Dossier stay on your machine: we do not receive or keep a copy of either. Please store each Dossier in your own document control system, as you would any other validation record.

A Single Dossier covers one spreadsheet in the exact version identified by its SHA-256 fingerprint. If the spreadsheet is changed, the existing Dossier no longer describes it, and a new Dossier (or a re-validation under the Annual Quality Register) is needed.

8. Annual Quality Register term

The Annual Quality Register runs for 12 months from the date your order is confirmed and then renews automatically for further 12-month terms, unless you or we cancel it by email at least 30 days before the end of the current term. At least 30 days before each renewal we email you a reminder with the renewal date and the price for the next term. The renewal fee is charged to the payment method used for the previous term, and you receive a VAT invoice for it. Dossiers generated during a term remain yours to use after the Register ends. The Register keeps fingerprints, version records and Dossier records only, never the contents of your workbooks.

9. Licence

We grant you a non-exclusive, non-transferable licence to use the NormXL software for the internal business purposes of your organisation, to generate the Dossiers you have paid for: for a Single Dossier, for that Dossier; for the Annual Quality Register, during its term. You may not resell, sublicense or rent the software, share access with other organisations, circumvent its licence controls, or use it to build a competing product. You may not decompile or reverse engineer it, except to the extent that the law expressly permits this and it cannot be excluded by contract.

10. Your spreadsheets and your Dossiers

Your spreadsheets and the data in them remain entirely yours; we never receive them. You may use, copy and share the Dossiers generated for you without limit within your organisation and with your assessors, auditors, notified or approved bodies, regulators and clients. The software, the Dossier structure, templates and standard wording remain our intellectual property; we grant you a perpetual licence to use them as part of your Dossiers for those purposes.

11. Your responsibilities

  • NormXL produces evidence; your organisation approves it. You are responsible for answering the intended-use questions accurately, reviewing the findings, documenting the sources of any constants the Dossier lists, and signing the release block.
  • NormXL verifies that your spreadsheet computes its chosen method correctly and robustly. Whether that method, data set or acceptance criterion is right for your purpose is an engineering, statistical or regulatory decision that stays with you.
  • NormXL is independent software. It does not grant, recommend or influence accreditation or certification, and the decision on any finding remains with your assessor or auditor.
  • You use the Services lawfully, and you do not submit unlawful content (including malicious code or material that infringes the rights of others) through our forms, attempt to disrupt or gain unauthorised access to the website, or send automated or bulk submissions.

12. If something is wrong with a Dossier

We provide the Services with reasonable care and skill. Each Dossier reflects the analysis of the exact file you validated. If a paid Dossier cannot be generated, or contains an error caused by NormXL, tell us within 60 days of generating it. We will correct the problem and let you generate the Dossier again at no cost; if we cannot, we refund the price paid for that Dossier (for the Annual Quality Register, one twentieth of the annual fee for each affected spreadsheet).

Apart from that, payments are not refundable, except as set out in this section or in section 16, or where the law requires otherwise. To the extent the law permits, the remedies in this section replace the statutory warranty for defects (rękojmia) under the Polish Civil Code.

13. Liability

Nothing in these Terms limits liability for damage caused intentionally or through gross negligence, for death or personal injury, or any other liability that cannot be limited by law.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue or business, the outcome of any assessment or audit, findings or non-conformities raised against you, or the loss or suspension of any accreditation or certification. Our total liability under or in connection with a contract is limited to the fees you paid us under that contract in the 12 months before the event giving rise to the claim. The free website services are provided as is, without any commitment to their availability.

14. Complaints

Send any complaint about the Services to info@normxl.com or to our postal address, with your organisation’s name, your order or reservation reference, and a description of the problem. We answer within 14 days of receiving it.

15. Confidentiality and data protection

We treat everything you tell us about your organisation, your spreadsheets and your assessments as confidential. Because your workbook is processed only in your browser, we process none of its contents, and no data processing agreement is needed for them. How we handle the personal data of your staff who contact us or place orders is explained in our Privacy Policy; the architecture is described on the Security & 0 KB Upload page.

16. Changes to the Services and to these Terms

We improve the software continually. We may change features, provided that a package you have paid for keeps the substance of what was described when you ordered it, for its term.

We may update these Terms only for an important reason: a change in the law or in a decision of a court or authority that affects them, a change to the Services or to the available payment methods, the need to protect the security of the Services or their users, or the correction of an obvious error. The version published on this page, with its date, applies to new orders. For an Annual Quality Register already running, a material change applies only after we have emailed you at least 30 days in advance; if you do not accept it, you may end the Register before the change takes effect and we refund the fee for the unused part of the term.

17. Ending a contract

You may stop using the Services at any time; to stop an Annual Quality Register from renewing, cancel it as described in section 8. We may end a contract with immediate effect by email if you materially breach these Terms (in particular the licence in section 9) and, where the breach can be remedied, do not remedy it within 14 days of our request. We may stop offering the free website services at any time.

18. Governing law and courts

These Terms and every contract under them are governed by Polish law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts having jurisdiction over Warsaw, Poland, have exclusive jurisdiction over any dispute, without prejudice to any mandatory rules of law that protect you.

19. General

These Terms, together with your order confirmation, are the entire agreement between us about the Services. If any provision is found invalid, the rest remains in force. Neither of us is liable for delays caused by events beyond reasonable control. You may not transfer your rights under a contract without our consent. These Terms are written in English, and the English version prevails over any translation.
